operating agreement

Please read the following terms of service relation to your use of the ParentsDigest.com website carefully. These terms of service govern your use of the ParentsDigest.com website and all services offered through the website.

By using any of the services provided by ParentsDigest.com, (including any content posted on the Site) you are agreeing to be bound by this Subscriber Agreement, including all amendments.

The Service

Subscribers of individual Subscriptions ("Subscribers") receive the ParentsDigest.com-Service for a period of 12 months. The ParentsDigest.com service consists of the following elements:

1. ParentsDigest.com will set up and activate an individual account for each Subscriber. The subscriber may change their profile at any time.
2. Each Subscriber will receive two (2) summaries per month.
3. Subscribers are also entitled to select four (4) additional summaries from our catalog.
4. Subscribers are invited to join our community through our Book Club Forums and agree to abide to our Forum Rules of Conduct.

Duration of the individual Subscription and Renewal

The Subscription period is 1 year. Four (4) weeks prior to the end of the initial (and each following) term the Subscriber will receive an e-mail message stating that the Subscription will automatically be renewed for an additional term if not cancelled within the subsequent four (4) weeks by letter, fax, e-mail to stop@ParentsDigest.com.com, or by clicking on a cancel link provided in that e-mail. If the Subscriber chooses not to cancel during that period, the subscription shall be renewed (and the Subscriber shall be bound by this Subscriber Agreement) for an additional term.

Payment and Money-Back Guarantee

Payment for the Individual or Professional Subscriptions is by credit / debit card. ParentsDigest.com will refund the entire fee if the subscriber cancels within the first three (3) months in writing (either by letter, fax or e-mail to ).

General Terms

Copyright and Limitations of Use

The content available through the ParentsDigest.com service, including the summaries and the associated metadata, is the property of ParentsDigest.com or its licensors and its subsidiaries, and is protected by copyright and other intellectual property laws. All rights reserved. You agree not to reproduce, retransmit, distribute, disseminate, sell, rent, publish, broadcast or circulate the content received through ParentsDigest.com to anyone, without the express prior written consent of ParentsDigest.com. The summaries may only be used and stored by the Subscribers.

In all cases, ParentsDigest.com sells a personal, nontransferable license to the Subscriber. This license is strictly nontransferable. Only one individual may access the ParentsDigest.com database using the same user name or password, unless agreed otherwise by ParentsDigest.com. Sub-licensing of the ParentsDigest.com content or parts thereof is prohibited. ParentsDigest.com reserves the right to delete summaries from and add summaries to its database without notice.

Disclaimer and Warranties and Liability

DUE TO THE NUMBER OF SOURCES FROM WHICH CONTENT IN PARENTSDIGEST.COM IS OBTAINED, AND THE INHERENT HAZARDS OF ELECTRONIC DISTRIBUTION, THERE MAY BE DELAYS, OMISSIONS OR INACCURACIES IN SUCH CONTENT. PARENTSDIGEST.COM AND ITS AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE CONTENT AVAILABLE THROUGH PARENTSDIGEST.COM. NEITHER PARENTSDIGEST.COM NOR ANY OF ITS AFFILIATES, AGENTS OR LICENSORS SHALL BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSS OR INJURY FROM USE OF THE PARENTSDIGEST.COM CONTENT. IN NO EVENT WILL PARENTSDIGEST.COM, ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DECISION MADE OR ACTION TAKEN BY YOU IN RELIANCE ON SUCH CONTENT. PARENTSDIGEST.COM AND ITS AFFILIATES, AGENTS AND LICENSORS SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU ARE RESPONSIBLE FOR ALL STATEMENTS MADE AND ACTS OR OMISSIONS THAT OCCUR WHILE YOUR PASSWORD IS BEING USED.

Final Terms

This Agreement is personal to you, and you may not assign your rights or obligations to anyone. No waiver, alteration, modification of any of the provisions hereof shall be binding unless in writing and signed by duly authorized representatives of the parties. If any provision in this Agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect.

By completing the registration process or by using the ParentsDigest.com service, you are indicating that you agree to be bound by all of the terms in this Subscriber Agreement. You may print and keep a copy of this Agreement. ParentsDigest.com may change the terms in this Subscriber Agreement without notice. The new terms will go into effect four (4) weeks after being posted on the ParentsDigest.com site. For subscribers of ParentsDigest.com, the initial terms of the Subscriber Agreement will serve until the end of the first duration of their subscription. If you do not agree to be bound by the changes, you should not use ParentsDigest.com again and you should cancel your ParentsDigest.com subscription.

This Agreement, your rights and obligations, and all actions contemplated by this Agreement shall be governed by the laws of Marin county, California, United States, as if the Agreement was a contract wholly entered into and wholly performed in Marin county, California, United States. Any dispute hereunder shall be exclusively heard in the court of competent jurisdiction of Marin County, California, United States.

Our Forums were created for you to connect with other parents and discuss parenting issues. We aim to create a safe and welcoming environment for all our subscribers.

By using our Site, you acknowledge that you may be exposed to content that you find objectionable, indecent, offensive or which is inaccurate, misleading or incomplete. We are not responsible for the accuracy, completeness or usefulness of any content, nor do we endorse such content. We do not verify the identity of people using our Site. You use the Site and the content at your own risk.

All content that you post to ParentsDigest.com comply with these rules of conduct and with our community guidelines, outlined below. You take sole responsibility for all content that you post on the Site and the consequences of posting that content. You are responsible for obtaining all necessary rights to upload, post and distribute the content, including obtaining permission from any person shown in a photo that you upload or identified in any writing that you post. You agree that you will not upload, email, transmit, or otherwise make available any content that is:

• threatening, defamatory, abusive, or obscene, or any material that would give rise to any civil or criminal liability under applicable law;
• any materials that could infringe any copyright, trademark, publicity or privacy right or any other intellectual property right of any person or entity unless you have first received permission from the owner of those rights to use the materials;
• any materials containing slurs, hate speech or which attack an individual or group on the basis of race, color, religion, national origin, or sexual preferences;
• any materials that contain an email address, telephone number, street address, last name, or any other content or information that identifies a user;
• any materials that constitute spam. Sending the same message multiple times or to multiple people will be treated as spam.

By submitting content to the Site, you grant to ParentsDigest a perpetual, worldwide, royalty-free, and non-exclusive license to reproduce, distribute, modify, edit, display, adapt, create derivative works from and market and promote the content, for any commercial purposes, and in any medium now existing or hereinafter developed, and to use your name, likeness and any personal information you submit with the content without your prior approval or the payment of any compensation. You also grant each user of the ParentsDigest site a non-exclusive license to access your content as permitted through the functionality of the Site and under these rules of conduct.

User Conduct

As an online community, we will thrive only if we can rely on our Members to act responsibly. We believe that all Members and visitors benefit from basic rules for acceptable conduct while using the Site and the Services. By using the Site, you agree to comply with the Community Guidelines.

Please keep the following rules in mind when you post to our forums. Failure to follow these rules may result in termination of your account.

1. Be respectful and open to other people's opinions.
2. If you post a controversial item be prepared for opposing opinions.
3. Don't personally attack others.

Our Removal Rights

We reserve the right, but not the obligation, to monitor, edit or remove any content at any time and without notice if we believe that (i) the content violates these rules of conduct or the Community Guidelines, (ii) removal is necessary to protect the rights, property or personal safety of ParentsDigest, its users and the public, or (iii) if required to do so by law. We can also remove content if we believe that doing so will improve our Site and the experience of our Members.

If you belief that any postings on the Site violate these rules of conduct or the Community Guidelines, please let us know by using the "Report this post." We try to review all reported violations however we are the final judge on whether these rules of conduct or Community Guidelines have been violated and we will determine what, if any, action should be to taken.
